End User License Agreement
This End User License Agreement ("EULA") governs your access to and use of Ontaym's websites, mobile applications, software, and related services (collectively, the "Services"). This EULA applies in addition to Ontaym's Terms of Service and other policies referenced therein.
By accessing or using the Services, you agree to be bound by this EULA. If you do not agree, you may not access or use the Services.
1. License to Use Ontaym
Subject to your compliance with this EULA and the Terms of Service, Ontaym grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services.
This license permits you to use Ontaym to discover the gatherings Ontaym organizes ("Meets"), to ask Ontaym to open one, to take and give up a place in one, and to attend, subject to the features and rules applicable to your account.
It does not grant you any right to create, organize, publish, host or sell a gathering through the Services, or to hold yourself out as the organizer of one. Ontaym is the organizer of every Meet.
The license is provided solely for lawful purposes and does not grant you ownership of any part of the Services.
2. Accounts and Eligibility
Certain features require you to create an Ontaym account. You are responsible for maintaining the accuracy of information associated with your account and for keeping your login credentials secure.
You may not create an account for another person without authorization, impersonate another person or organization, or use the Services in a manner that misrepresents your identity or affiliation.
You must satisfy any minimum age or other eligibility requirements applicable to the Services in your jurisdiction.
3. Acceptable Use
You agree to use Ontaym only in accordance with applicable laws, this EULA, and the Terms of Service.
You may not:
- use the Services for unlawful, fraudulent, deceptive, or abusive purposes;
- interfere with or disrupt the operation or security of the Services;
- access accounts, systems, data, or information that you are not authorized to access;
- attempt to circumvent security, authentication, access, or usage restrictions;
- upload or transmit malicious software, harmful code, or other destructive material;
- use automated systems, bots, crawlers, scrapers, or similar methods to access or collect information from the Services except where expressly authorized by Ontaym;
- use the Services to impersonate another person, organization, venue or business, or to hold yourself out as Ontaym, as the organizer of a Meet, or as its host;
- distribute spam, unsolicited commercial communications, or misleading content;
- exploit the Services to facilitate illegal activities; or
- use the Services to develop, train, operate, or provide a competing service in violation of applicable rights or restrictions.
4. Intellectual Property
The Services, including their software, design, interfaces, technology, trademarks, logos, text, graphics, databases, compilations, and other original content and functionality, are owned by or licensed to Ontaym and are protected by applicable intellectual property laws.
Except for the limited license expressly granted in this EULA, no rights or interests in the Services are transferred to you.
You may not copy, reproduce, modify, distribute, sell, lease, sublicense, publicly display, publicly perform, reverse engineer, decompile, disassemble, or create derivative works from the Services except where expressly permitted by law or authorized in writing by Ontaym.
5. User Content
Ontaym allows you to submit content, including your profile information, photographs, a description of yourself, requests for a Meet, messages, ratings, reports and other materials ("User Content").
You retain ownership of User Content that you own.
By submitting User Content through the Services, you grant Ontaym a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, process, modify, adapt, publish, display, distribute, communicate, and otherwise use that User Content as reasonably necessary to operate, provide, promote, improve, and develop the Services.
You represent that you have the necessary rights and permissions to submit your User Content and grant the rights described above.
You are responsible for the content you submit and for ensuring that it is accurate, lawful, and does not violate the rights of others.
6. Third-Party Content and Listings
Ontaym may display information about venues, places, businesses and services operated by third parties - including the venue at which a Meet is held.
Ontaym organizes the Meet; it does not own, operate or control the venue, and it does not verify or endorse third-party information about it. That information may be supplied by the venue, by public sources or by other third parties, and may be incomplete, inaccurate, outdated or subject to change.
You are responsible for evaluating third-party information and confirming anything that matters to you - prices, opening hours, accessibility, entry requirements - directly with the venue or provider.
7. Transactions and Third-Party Services
Some features may allow users to request, reserve, purchase, register for, or otherwise interact with events, venues, activities, products, or services offered by third parties.
Unless expressly stated otherwise, Ontaym is not the provider of those third-party offerings and is not responsible for their availability, quality, legality, safety, accuracy, fulfillment, cancellation, or performance.
Additional terms may apply to transactions or services provided by third parties.
8. Software Updates and Changes
Ontaym may modify, update, suspend, replace, or discontinue any portion of the Services at any time.
We may also provide software updates, patches, improvements, or new versions that may be required for continued use of certain features.
You agree that Ontaym is not obligated to maintain any particular feature, functionality, version, or compatibility indefinitely.
9. Third-Party Platforms
The Services may integrate with or depend on third-party platforms, operating systems, app stores, payment providers, mapping services, authentication providers, communication services, or other third-party technologies.
Your use of those services may be subject to separate terms and policies established by the applicable third party.
Ontaym does not control and is not responsible for third-party platforms or services.
10. No Transfer of Ownership
Your use of the Services does not transfer to you any ownership interest in Ontaym, its software, technology, trademarks, databases, or other intellectual property.
You receive only the limited license expressly granted under this EULA.
11. Suspension and Termination
Ontaym may suspend or terminate your license to access or use the Services if you violate this EULA, the Terms of Service, applicable law, or if we reasonably believe that suspension or termination is necessary to protect Ontaym, other users, or the integrity and security of the Services.
You may stop using the Services at any time and may delete your account subject to applicable policies and legal requirements.
Upon termination, the license granted to you under this EULA will immediately end.
Sections that by their nature should survive termination, including provisions concerning intellectual property, User Content, disclaimers, limitations of liability, indemnification, and dispute-related provisions, will survive termination.
12. Disclaimer
To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.
Ontaym does not guarantee that the Services will always be available, uninterrupted, secure, error-free, accurate, or suitable for your particular needs.
Nothing in this EULA excludes or limits any rights or protections that cannot lawfully be excluded or limited under applicable law.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Ontaym and its affiliates, officers, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, or inability to use, the Services.
Any additional limitations of liability applicable to your use of Ontaym are set out in the Terms of Service.
14. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Ontaym and its affiliates, officers, directors, employees, agents, licensors, and service providers from claims, liabilities, damages, losses, and expenses arising from your unlawful use of the Services, your violation of this EULA or the Terms of Service, or your User Content.
15. Relationship to the Terms of Service
This EULA is part of and supplements Ontaym's Terms of Service.
If there is a conflict between this EULA and the Terms of Service, the Terms of Service will control unless this EULA expressly states otherwise.
Your use of the Services is also subject to Ontaym's Privacy Policy and other applicable policies.
16. Changes to This EULA
Ontaym may update this EULA from time to time.
When material changes are made, Ontaym may provide notice through the Services or by other reasonable means.
Your continued use of the Services after the effective date of an updated EULA constitutes acceptance of the revised EULA to the extent permitted by applicable law.
